We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amen these terms and conditions and it’s linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

Removal of links from our website

If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to or so or to respond to you directly.

We do not ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.

Brand Ambassador

The Brand Ambassador agrees to engage in the best and commercially reasonable efforts to provide the Services to Company ProSpa Beauty, in accordance with the terms of this Agreement.

The Brand Ambassador further agrees to provide the Services in a professional and diligent manner consistent with industry standards and good business practice, using efforts comparable to those customarily used in in-person events, promotional social media, and various marketing campaigns of equivalent value and for similar products or services.

The Brand Ambassador shall deliver the agreed upon number of posts and/or other relevant content as defined in by the Company. The Services provided by the Brand Ambassador shall conform with the instructions and specifications of the Company as detailed and abide by the terms and conditions of the applicable platforms. 

If the Company wishes to review the content before the Brand Ambassador posts the content, the Company has a maximum of 3 days to reject any deliverable provided by the Brand Ambassador in accordance with this Agreement and must notify the Brand Ambassador within 3 days of receipt of any supplementary revisions or amendments that are requested by the Company or Brand Affiliates.  

Payments will be made to the Brand Ambassador by Bacs to the Brand Ambassadors bank details provided on sign up. If these details change it is the responsibility of the Brand Ambassadors to follow the correct protocol to change bank details to be current. Brand Ambassadors will be paid monthly on the last business day of the month. Payment on commission runs from the 1st of the month to the last day of the month and is paid a month in arrears. Brand Ambassadors must request payment on the last day of the month, or ProSpa Beauty have the right to hold payment until requested the following month. 

The Brand Ambassador agrees to create original content that is honest and factual. The approval from the Company may be required prior to the Brand Ambassador uploading or publishing the content. The approved content shall be shared by the Brand Ambassador to their agreed upon social media accounts, including but not limited to, YouTube, Facebook, Twitter, Instagram, TikTok, Snapchat, Byte, Tumblr, Vine, Google+, Blogs and Pinterest. The Company Brand guidelines will require to be adhered to at all times, pre-designed content will be available for the Brand Ambassadors.

The Company may request the Brand Ambassador to incorporate hashtags, links, titles, or other relevant information of the media and content being uploaded or published.  The Content must be in compliance with the terms and conditions of the social media.

The Brand Ambassador has access to all ingredients whether it be on the portal or website. The Brand Ambassador acknowledges that it is there responsible to pass on this information to potential sale prospects.

The Company shall cause the Brand Ambassador to grant to the Company and to any Brand Affiliates, a limited, non-exclusive, royalty free, right to feature content created by the Brand Ambassador as part of the campaign, including the Brand Ambassador’s name and screenname(s), on the Company’s and Brand Affiliates controlled and owned social media platforms and within third-party digital platforms.

The Company will own the full and complete copyright to the uploaded media. However, both Parties are permitted to share the content subject to this Agreement within their own channels. 

Throughout the duration of this Agreement, it may be necessary for the Brand Ambassador to have access to the Company’s confidential and protected information for the sole purpose of performing the Services subject to this Agreement. 

The Brand Ambassador is not permitted to share or disclose such confidential information whatsoever, unless mandated by law, without written permission from the Company. The Brand Ambassador’s obligation of confidentiality will survive the termination of this Agreement and stay in place indefinitely. Upon the termination of this Agreement, the Brand Ambassador agrees to return to the Company any and all Confidential Information that is the property of the Company 

Both parties will comply with all applicable requirements of the Data Protection Legislation. It is in addition to, and does not relieve, remove or replace, a party’s obligations under the Data Protection Legislation. In this Clause Applicable Laws means (for so long as and to the extent that they apply to the Contractor) the law of the European Union, the law of any member state of the European Union and/or Domestic UK Law; and Domestic UK Law means the UK Data Protection Legislation and any other law that applies in the UK. 

The parties acknowledge that for the purposes of the Data Protection Legislation, the Business is the data controller, and the Contractor is the data processor (where Data Controller and Data Processor have the meanings as defined in the Data Protection Legislation). 

The Parties subject to this Agreement understand and acknowledge that this Agreement is not exclusive. Each Party respectively agrees that they are free to enter into other similar Agreements with other parties.

Company and Brand Ambassador expressly agrees and understand that the Brand Ambassador is a contractor hired by the Company and nothing in this Agreement shall be construed in any way or manner, to create between them a relationship of employer and employee, principal and agent, partners or any other relationship other than that of independent parties contracting with each other solely for the purpose of carrying out the provisions of the Agreement.

Accordingly, the Brand Ambassador acknowledges they are not eligible for any benefits, including, but not limited to, holiday pay, sick pay, base salary. The Brand Ambassador is not the agent of the Company and is not authorized and shall not have the power or authority to bind the Company or incur any liability or obligation, or act on behalf of the Company. At no time shall the Brand Ambassador represent that it is an agent of the Company, or that any of the views, advice, statements and/or information that may be provided while performing the Services are those for the Company.

This Agreement constitutes a contract for the provision of services and not a contract of employment and accordingly the Contractor shall be fully responsible for and shall indemnify the Business for and in respect of: 

Any income tax, National Insurance and social security contributions and any other liability, deduction, contribution, assessment or claim arising from or made in connection with the performance of the Services, where recovery is not prohibited by law. The Contractor shall further indemnify the Business against all reasonable costs, expenses and any penalty, fine or interest incurred or payable by the Business in connection with or in consequence of any such liability, deduction, contribution, assessment other than where the latter arise out of the Business’ negligence or willful default. 

This Brand Ambassador Contract may be terminated at any time by mutual agreement between the Parties. The contract can be amended by the company to fall in line with the business strategy at any time.

Parties to this Agreement shall first attempt to settle any dispute through good-faith negotiation. If the dispute cannot be settled between the parties via negotiation, either party may initiate mediation within the country/state.  

If the parties do not wish to mediate or arbitrate the dispute and litigation is necessary, this Agreement will be interpreted based on the laws of the country/state, without regard to the conflict of law provisions of such country/state. The Parties agree the dispute will be resolved in a court of competent jurisdiction in the country/state. 

This agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in this agreement.

Team leaders are Brand Ambassadors that have a team working with them. Team leaders are responsible for keeping in touch with their Brand Ambassadors and updating them with new product launches and various other product development.

Brand Ambassadors maybe allocated into a team; The team leader will then be responsible to communicate with the Brand Ambassador.

The Downline Tree enables everyone at whatever level they are in to earn.

Every Brand Ambassador will receive 15% discount across the website.

Every time the Unique Brand Ambassador code is used for an order on the website the customer receives 10% discount. The Brand ambassador will then Receive 10% commission on this sale.

The more Ambassadors you have working under you in your tree the more commission you can earn:

Tier 1 – earn extra 20% commission

Tier 2 – earn extra 10 commission

Tier 3 – earn extra 5% commission

Tier 4 – earn extra 2% commission

Tier 5 to 8 – earn extra 1% commission

This commission is earned on the commission of the sale.

Trade Account Users

Trade account users will receive up to a 15% discount site wide.

The discount will not apply to sale products.

Items that are part of our stockiest collaboration may not be included in the discount.

Student Starter kits may not be included in the discounts.

Discounts are determined by ProSpa Beauty and can change at our discretion.

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our website and the use of this website. Nothing in this disclaimer will:

limit or exclude our or your liability for death or personal injury;
limit or exclude our or your liability for fraud or fraudulent misrepresentation;
limit any of our or your liabilities in any way that is not permitted under applicable law; or
exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.
